End-User License Agreement
Effective April 1, 2026
This agreement governs the use of the Evie QuickBooks Online Integration ("Application"), a component of Evie, an internal agentic workflow platform developed and operated by Spantree, LLC ("Company").
1. Purpose and Scope
The Application is a private, internal integration that connects Evie to Spantree's own QuickBooks Online account. It automates internal financial operations including invoice management, financial reporting, and interdepartmental billing.
The end users of this Application are Spantree, LLC and its parent company, Trifork US, Inc. No other entity, individual, or organization may use, access, or license this Application without the express written consent of Spantree, LLC.
This Application is not listed on the Intuit App Store and is not available for public distribution.
2. License Grant
This Application is licensed exclusively for internal use by authorized personnel of Spantree, LLC as part of the Evie agentic workflow platform. No license is granted to any third party.
3. Restrictions
This Application may not be redistributed, sublicensed, resold, or made available to any party other than Spantree, LLC. It may only access Spantree's own QuickBooks Online company account. It may not be reverse engineered, decompiled, or disassembled. It may not be used for any unlawful purpose.
4. Data Access
The Application accesses Spantree's QuickBooks Online data through Intuit's official API using OAuth 2.0 authentication. It operates as an automated agent within Evie's workflow engine, accessing only the data scopes authorized by Spantree's QuickBooks administrator.
5. Ownership
The Application is the property of Spantree, LLC. All rights not expressly granted herein are reserved.
6. Disclaimer of Warranties
THE APPLICATION IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.
7. Limitation of Liability
IN NO EVENT SHALL SPANTREE, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE USE OF THE APPLICATION.
8. Termination
This agreement is effective until terminated. Spantree, LLC may disconnect the Application from QuickBooks Online at any time by revoking access through Intuit's App Center or QuickBooks security settings.
